RESOLUTION AG 3/2004

TRANSFER OF THE ASSETS AND LIABILITIES OF THE OFFICE TO THE ORGANIZATION AND THE APPOINTMENT OF A TEMPORARY ADMINISTRATOR

THE GENERAL ASSEMBLY OF THE INTERNATIONAL ORGANIZATION OF VINE AND WINE, at its first meeting, 

CONSIDERING article 17 paragraph 1 of the Agreement governing the creation of the International Organization of Vine and Wine, adopted in Paris on April 3, 2001 (hereinafter referred to as "the Agreement") which stipulates that "the modified Arrangement governing the creation in Paris of an International Office of Wine, adopted in Paris on November 29, 1924 (hereinafter referred to as "the Arrangement of November 29, 1924") ends by a unanimous decision of the first General Assembly after the entry into force of the present Agreement, unless all the States party to the aforementioned Arrangement have unanimously agreed, before entry into force of the present Agreement, upon the conditions under which the effects of the aforementioned Arrangement shall be suspended";

CONSIDERING article 17 paragraph 2 of the Agreement governing the creation of the International Organization of Vine and Wine, adopted in Paris on April 3 2001 which lays out that "the International Organization of Vine and Wine succeeds in all its rights and obligations to the International Office of Vine and Wine";

CONSIDERING the Resolution of the General Assembly 2/2004 of the International Office of Vine and Wine relating to the conditions of succession between the International Office of Vine and Wine and the International Organization of Vine and Wine,

HEREBY accepts the transfer of all the personnel, contracts, leases or conventions, as well as the movable goods of the International Office of Vine and Wine as well as its scientific and technical assets, 

HEREBY accepts to pay the operating budget allocation of €750,000 on the date of March 18, 2004,

HEREBY decides that the Director General of the International Organization of Vine and Wine is appointed temporary administrator in charge of the winding-up of the International Office of Vine and Wine,

HEREBY decides that on the day after the General Assembly of the International Office of Vine and Wine that approves the balance-sheet and the management account of the aforesaid Office and has given final discharge to the Director General for the management of the previous financial period:

1. The arrangement of November 29, 1924 shall be terminated,
2. The International Office of Vine and Wine shall "transfer all its assets and liabilities to the International Organization of Vine and Wine", which totally replaces same in its rights and obligations

HEREBY decides that as soon as all the necessary formalities for the final divestment indicated above have been carried out:

1. The functions of temporary administrator of the International Office of Vine and Wine shall end thereafter.
